These Terms of Service ("Terms") govern your use of the website ToolXero, accessible at https://ToolXero.com (the "Service"), operated by ToolXero ("we," "us," or "our").

1. Description of Service

ToolXero provides a collection of free online tools including, without limitation: PDF converters, image processing tools, calculators, generators, and developer utilities (collectively, the "Tools").

Key characteristics of our Service:

• The majority of our Tools operate entirely within your browser. Files processed by these Tools are never transmitted to our servers.
• A small number of Tools require server-side processing. For these Tools, files are transmitted securely, processed immediately, and permanently deleted. They are never stored or retained.
• Our Service is provided free of charge. We generate revenue through advertising (Google AdSense).
• No account, registration, or personal information is required to use our Tools.

2. Eligibility

You must be at least 13 years of age (or the minimum age in your country to consent to data processing, whichever is higher) to use our Service.

By using our Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms.

3. Permitted Use

You may use our Service for any lawful purpose, including personal, educational, and recreational use; commercial and business use; processing your own files and documents; and processing files for which you have appropriate authorization.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Service in accordance with these Terms.

4. Prohibited Use

You agree not to use our Service to:

4.1 Illegal activities

• Process, transmit, or distribute files that violate applicable laws or regulations
• Infringe the intellectual property rights, privacy rights, or other rights of any third party
• Process files containing child sexual abuse material or any content that exploits or harms minors
• Engage in any activity that constitutes a criminal offense

4.2 Harmful activities

• Upload malware, viruses, or any malicious code designed to harm our infrastructure or other users
• Attempt to gain unauthorized access to our systems, servers, or databases
• Conduct denial-of-service attacks or any action that disrupts or degrades our Service
• Reverse engineer, decompile, or attempt to extract the source code of our Service

4.3 Abusive activities

• Use automated bots, scrapers, or scripts to access our Service at scale without our written permission
• Interfere with other users' use of our Service
• Misrepresent your identity or affiliation with any person or organization
• Use our Service to collect or harvest any personal information from other users

4.4 Commercial exploitation

• Resell, sublicense, or provide access to our Service to third parties as a commercial product without our written consent
• White-label our Service or present it as your own product without attribution

Violation of these prohibitions may result in termination of your access to our Service and, where appropriate, referral to law enforcement.

5. Your Files and Content

5.1 Ownership

You retain full ownership of all files, documents, and content you process using our Service. We do not claim any intellectual property rights over your files.

5.2 Your responsibility

You represent and warrant that you own or have the necessary rights, licenses, or authorizations to process the files you submit; that your use of our Service with respect to those files does not violate any third party's rights or any applicable law; and that you are solely responsible for any files you process and the output you generate.

5.3 Our access to your files

• Browser-side tools: we have zero access to files processed by these tools. Files exist only in your browser's memory.
• Server-side tools: files are transmitted to our server over encrypted HTTPS, processed, and immediately and permanently deleted. No employee reviews these files. We do not use them for any purpose other than producing the output you requested.

5.4 No backup obligation

We do not store your files and accept no responsibility for any loss of data. Always keep your own backups of any important files before processing them with any online tool.

6. Intellectual Property

6.1 Our intellectual property

The Service, including its design, code, text, graphics, logos, and other content created by us ("Our Content"), is owned by ToolXero and is protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from Our Content without our prior written consent, except as permitted by these Terms or applicable law.

6.2 Open source components

Our Tools use open-source JavaScript libraries (including pdf-lib, jsPDF, browser-image-compression, qrcode.js, and others). These libraries are used in accordance with their respective open-source licenses (MIT, Apache 2.0, etc.). We acknowledge and respect the work of their developers.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about our Service ("Feedback"), you grant us a worldwide, royalty-free, perpetual license to use that Feedback to improve our Service, without any obligation to compensate you.

7. Advertising

Our Service displays third-party advertisements served by Google AdSense. By using our Service, you acknowledge that advertisements may be displayed on our pages; that Google may use cookies and tracking technologies in connection with these advertisements; that we have no control over the content of advertisements displayed; and that we are not responsible for the content, products, or services offered by advertisers.

We do not endorse, control, or accept responsibility for the content, privacy practices, or services of any third-party website. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement; that the Service will be uninterrupted, error-free, or free of viruses; that the results obtained will be accurate or meet your requirements; and that any errors will be corrected.

You use the Service entirely at your own risk. We strongly recommend maintaining backups of any important files before processing them with any online tool.

Specific disclaimers: Our calculators (mortgage, BMI, calorie, etc.) provide estimates for informational purposes only and do not constitute financial, medical, legal, or professional advice — always consult a qualified professional for important decisions. File conversion and compression results may vary based on the original file content, browser version, and device; we do not guarantee specific output quality, file sizes, or conversion accuracy. Our password generator uses cryptographically secure randomness, but no security tool eliminates all risk, and we are not responsible for any security breach resulting from passwords generated by our tool.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

ToolXero, its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, goodwill, or other intangible losses; damages resulting from your access to or use of (or inability to use) the Service; damages resulting from any content obtained through the Service; damages resulting from unauthorized access to or alteration of your transmissions or data; or damages resulting from the conduct of any third party on or through the Service.

In no event shall our aggregate liability to you for all claims arising from or related to the Service exceed USD $10.00 (ten US dollars) or the amount you paid us in the preceding 12 months, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Availability and Modifications

We strive to keep our Service available but do not guarantee uninterrupted access. We may experience downtime for maintenance, updates, or reasons beyond our control. We are not liable for any downtime or service interruption.

12.2 Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice; add or remove tools from our collection; and change the features, functionality, or pricing of the Service (noting that we currently offer the Service free of charge). We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

12.3 Modifications to these Terms

We may update these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, for significant changes, display a notice on our homepage. Your continued use of the Service after updated Terms are posted constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.

13. Termination

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including any violation of these Terms; conduct that we believe is harmful to other users, us, or third parties; or at our sole discretion. Upon termination, your right to use the Service immediately ceases. All provisions of these Terms that by their nature should survive termination shall survive.

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

14.2 Disputes

We encourage you to contact us first to resolve any dispute informally at hello@ToolXero.com. We will make good-faith efforts to resolve concerns promptly. For unresolved disputes, you agree to submit to the exclusive jurisdiction of the courts located in France. If you are located in the EU, you may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

14.3 Class action waiver

To the extent permitted by applicable law, you agree that any dispute shall be resolved on an individual basis and not as part of a class action or representative proceeding.

15. General Provisions

15.1 Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ToolXero regarding your use of the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. A waiver of any breach does not constitute a waiver of any subsequent breach.

15.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

15.5 Force majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, government actions, or internet outages.
